By accessing or using Turnover Pro, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the platform.

Turnover Pro is available on an invite-only basis. Access is granted at the sole discretion of Michaela Inc. We reserve the right to deny or revoke access to any user or organization at any time, for any reason, without notice.

You agree not to:

• Use the platform for any unlawful purpose
• Attempt to gain unauthorized access to any part of the system or other users' data
• Interfere with or disrupt the integrity or performance of the platform
• Reverse engineer, decompile, or disassemble any aspect of the software
• Upload malicious code, viruses, or harmful content
• Share account credentials or allow unauthorized users to access your account

You retain ownership of all turnover data, property information, and files you upload to the platform. By using Turnover Pro, you grant us a limited license to host, process, and display your data solely for the purpose of providing the service to your organization.

We do not claim ownership of your data and will not use it for any purpose other than operating the platform for your benefit.

Pricing is based on your selected plan (Starter, Pro, or Enterprise). Billing cycles are monthly unless otherwise agreed in writing. You may cancel your subscription at any time by contacting your account representative.

No refunds will be provided for partial billing periods. Upon cancellation, your access will continue until the end of the current billing period.

We may suspend or terminate your access immediately for violations of these Terms or for any other reason at our discretion. Upon termination:

• Your access to the platform will be revoked
• Your organization's data will be retained for 60 days to allow for export or reactivation
• After 60 days, data may be permanently deleted from our systems

The platform is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the platform will be uninterrupted, timely, secure, or error-free.

To the maximum extent permitted by law, Michaela Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the platform.

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.

Any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in Davidson County, Tennessee. You consent to the personal jurisdiction of such courts.

We may update these Terms from time to time. We will notify you of significant changes via email or through the platform. Continued use after changes constitutes acceptance of the revised Terms.
